The following Service Module Terms apply to the Customer to the extent the specific Service Module is selected in the SaaS Agreement between Thrive and the Customer (“SaaS Agreement”). Defined terms used in these Service Module Terms have the meaning given to them in the SaaS Agreement. Thrive may update these Service Module Terms from time to time by updating such Service Module Terms on Thrive’s website at www.mythrive.co.uk. Any such amendment shall take effect 30 days after the date on which the updated Service Module Terms are published (as indicated at the top of this page). If the Customer does not agree to an amendment to the Service Module Terms, the Customer may, by written notice to Thrive given within such 30-day period, terminate the applicable Service Module with effect from the date on which the amendment would otherwise take effect. If the Customer does not exercise its right to terminate the applicable Service Module within that 30-day period and continues to use the applicable Service Module after the amended Service Module Terms take effect, the amended Service Module Terms shall be deemed accepted by, and binding upon, the Customer.
1. Service Module Overview
Discounts and Cashback is provided through a single sign-on (“SSO”) integration from the Thrive Platform to a third-party provider’s (“Discounts Provider”) platform (“Discounts Platform”). The Discounts Provider provides the underlying retailer offers, discounts and cashback service to the Customer and Authorised Users via the Discounts Platform (“Discounts Provider Services”).
2. Service Module Services
Where agreed under the SaaS Agreement, Thrive shall provide the following services relating to this Service Module:
a) Thrive shall make this Service Module available to the Customer and its Authorised Users via the Thrive Platform;
b) it shall configure and maintain the SSO integration from the Thrive Platform to the Discounts Platform, in collaboration with the Discounts Provider;
c) it shall provide support services regarding the SSO integration in accordance with Support Services Policy; and
d) it shall provide offboarding support from the Discounts Platform to the Customer and its Authorised Users.
3. Service Module Terms
The Customer acknowledges and agrees that:
a) its and each Authorised User’s use of the Discount Platform is subject to the Discounts Provider’s own terms and conditions and the provisions of the SaaS Agreement relevant to Benefits Providers and Benefits Provider Services apply as if references to the Benefits Provider in the SaaS Agreement are references to the Discounts Provider and references to the Benefits Provider Services are to the Discounts Provider Services;
b) the Discounts Provider, and not Thrive, is responsible for providing Authorised Users with manual payment of any remaining cashback pending in the Authorised User’s account, on suspension or termination (as applicable) of the Authorised User’s account with the Discounts Provider;
c) to the extent that such information is made available to Thrive by the Discounts Provider, Thrive may receive and process usage, adoption and savings information relating to the Customer’s Authorised Users’ use of this Service Module; and
d) Thrive may provide to the Customer aggregated or anonymised management information including relating to:
i) the number or proportion of the Customer’s Authorised Users accessing this Service Module;
ii) adoption or engagement levels of the Customer’s Authorised Users; and
iii) total or average savings achieved by the Customer’s Authorised Users.

4. Service Module Overview
Thrive Academy is a service relating to the provision via the Thrive Platform of general financial wellbeing education, including content covering budgeting and cashflow, saving and debt, mortgages, pensions and ISAs, workplace benefits and general financial planning principles (“Content”).
5. Service Module Services
Where agreed under the SaaS Agreement, Thrive shall provide the following services relating to this Service Module:
a) Thrive shall make this Service Module available to the Customer and its Authorised Users via the Thrive Platform; and
b) Thrive shall make Content available via this Service Module.
6. Service Module Terms
The Customer acknowledges and agrees that:
a) Thrive may produce, or partner with third parties to produce, the Content;
b) Thrive shall determine, in its sole discretion, the topics, format, presentation, structure and sequencing of the Content in this Service Module of the Thrive Platform;
c) Thrive may review, update, add to, replace or withdraw Content from the Thrive Platform from time to time to:
i) maintain or improve the quality and relevance of the Content;
ii) reflect changes in law, regulation, market practice or general financial information;
iii) correct errors or outdated information;
iv) introduce new formats or topics; or
v) improve the user experience;
d) Thrive does not undertake to keep any Content up to date;
e) it shall not, and shall ensure that its Authorised Users do not:
i) copy, reproduce, modify, adapt, translate, distribute, publish, republish, transmit, sell, license, rent, lease or otherwise exploit any Content;
ii) make any Content available to any third party;
iii) remove, obscure or alter any copyright, trade mark or other proprietary notices contained in the Content;
iv) create any database, library, archive or repository comprising all or a substantial part of the Content; or
v) use any automated means, including robots, crawlers, scrapers or similar technologies, to access, extract, download, monitor or collect Content from the Thrive Platform;
f) the Content is educational and informative in nature, and does not provide personal recommendations, personal financial advice, investment advice, legal advice, tax advice or other regulated professional advice to Authorised Users and the Customer shall not describe or present the Content as such;
g) the Customer and its Authorised Users are solely responsible for evaluating the accuracy, completeness and suitability of any Content for their particular circumstances and should seek advice from an appropriately qualified and regulated adviser where personal financial, legal or tax advice is required;
h) Thrive does not represent, warrant or guarantee that the Content is accurate, complete, current or suitable for any particular purpose;
i) to the fullest extent permitted by law, Thrive shall have no liability arising from or relating to:
i) any decision, action or omission taken by the Customer or any Authorised User based on the Content;
ii) any inaccuracies, omissions or errors in the Content; or
iii) the Customer’s or any Authorised User’s use of, or reliance upon, the Content; and
j) all financial decisions made by the Authorised Users following use of this Service Module is at the Customer’s or Authorised User’s own risk.

7. Service Module Overview
This Employee Benefits Service Module enables the Customer to communicate, manage and administer Benefits Provider Services to Authorised Users through the Thrive Platform. The functionality available as part of this Service Module may include employee document management, benefit requests and enrolment, benefits reporting and analytics, total reward statements and such other related functionality as Thrive may make available from time to time.
8. Service Module Services
Where agreed under the SaaS Agreement, Thrive shall provide the following services relating to this Service Module:
a) Thrive shall make this Service Module available to the Customer and its Authorised Users via the Thrive Platform; and
b) Thrive shall provide functionality enabling the Customer and its Authorised Users to access hosted Benefits Provider Services.
9. Service Module Terms
The Customer acknowledges and agrees that:
a) it shall provide complete, accurate and up-to-date information required to configure and operate this Service Module;
b) it has all necessary rights, permissions and approvals to provide Thrive with any benefit descriptions, Benefits Provider information, documents, branding, trade marks, campaign materials or other inputs supplied by the Customer; and
c) the Customer shall promptly notify Thrive where:
i) a Benefits Provider Service is withdrawn, expires or changes materially;
ii) any hosted benefit information is no longer accurate; or
iii) any content provided through this Service Module should be amended, suspended or removed.

10. Service Module Overview
Benefits Marketplace enables the Customer and its Authorised Users to discover and access Benefits Provider Services from Benefits Providers via the Thrive Platform. Thrive may, via the Thrive Platform or via its personnel, facilitate introductions (each an “Introduction”) to Benefits Providers who offer Benefits Provider Services. Introductions may be facilitated through:
a) access to a curated selection of Benefits Providers within the Thrive Platform;
b) provision of information about Benefits Provider Services; and/or
c) enabling the Customers to request further information, demonstrations, or pricing directly from Benefits Providers.
11. Service Module Services
Where agreed under the SaaS Agreement, Thrive shall provide the following services relating to this Service Module:
a) Thrive shall make this Service Module available tothe Customer via the Thrive Platform; and
b) Thrive shall enable the Customer to display and promote the Benefits Provider Services to Authorised Users via the Thrive Platform.
12. Service Module Terms
a) The Customer acknowledges and agrees that Thrive’s role is limited to facilitating Introductions and providing access to this Service Module on the Thrive Platform. Thrive does not:
i) provide advice, recommendations or endorsements in relation to workplace benefits;
ii) assess the suitability of any Benefits Provider Service for a particular Customer or Authorised User; or
iii) act as a broker, intermediary, fiduciary or agent in relation to any agreement between a Customer or an Authorised User and a Benefits Provider.
b) Following any Introduction, the Customer may engage directly with the relevant Benefits Provider.
c) The Customer is solely responsible for:
i) conducting its own due diligence on the Benefits Provider and the Benefits Provider Services;
ii) evaluating the suitability of any Benefits Provider or Benefits Provider Services for the Customer and its Authorised Users;
iii) negotiating contractual terms with a Benefits Provider; and
iv) entering into and managing any agreement with a Benefits Provider,
and the provisions of the SaaS Agreement relevant to Benefits Providers and Benefits Provider Services apply.
d) The Customer is responsible for:
i) providing and maintaining accurate and up-to-date information regarding the Benefits Provider Services; and
ii) ensuring that any content displayed to Authorised Users complies with applicable laws and the terms and conditions of the SaaS Agreement.
e) The Customer acknowledges and agrees that Thrive may receive referral fees, commissions or other commercial payments from Benefits Providers in connection with Introductions made to Benefits Providers (including via the Thrive Platform).
f) Thrive may refuse to publish, or may suspend or remove, a listing of Benefits Provider Services (“Marketplace Listing”) in this Service Module of the Thrive Platform where Thrive reasonably considers that a Marketplace Listing:
i) does not meet Thrive’s technical, security or operational requirements;
ii) may be unlawful or misleading;
iii) may constitute an unapproved financial promotion;
iv) may expose Thrive, the Customer or an Authorised User to material risk;
v) infringes a third party’s rights;
vi) relates to a Benefits Provider that no longer provides the relevant Benefits Provider Service; or
vii) may materially damage the reputation of Thrive or the Thrive Platform.
